1. Overview and Terms of Use
These Terms and Conditions of Use (“Terms”) apply to all decentralized governance services, Web2 and Web3 applications, websites, and associated digital products provided by Robs Rules DAO LCA, a Colorado Limited Cooperative Association (“Robs Rules DAO LCA”, “the Association”, “we”, “us”, or “our”).
Robs Rules DAO LCA is incorporated under the Colorado Uniform Limited Cooperative Association Act, with its principal office located at 215 S Wadsworth Blvd, Ste 400, Lakewood, CO 80226. These Terms govern access to and use of our Decentralized Governance and Decision Platform (DeGov), including the website at robsrulesdao.com, proposal creation and interaction portals (rrd-c.robsrulesdao.com and rrd-i.robsrulesdao.com), documentation hubs, and integrated blockchain governance tools.
2. User Responsibilities and Conduct
By registering, accessing, or participating in the Robs Rules DAO LCA platform or associated governance workflows, you agree to comply fully with these Terms, our Privacy Policy, Charter, and Covenants, Conditions, and Restrictions (CC&Rs):
- Accuracy of Information: You agree to provide true, accurate, and complete information regarding your organization, user profile, authorized contacts, and connected Web3 wallet credentials during registration and onboarding.
- Content and Proposal Integrity: You are solely responsible for all information, proposals, amendments, comments, and votes submitted or transmitted through the network. You warrant that all content submitted is accurate, free of software viruses or malicious code, and compliant with applicable laws and industry standards.
- Lawful and Respectful Use: You agree not to post, transmit, or support any defamatory, obscene, harassing, fraudulent, or illegal statements or proposals that infringe upon the rights of others, violate intellectual property laws, or breach our Code of Conduct.
- Compliance with Anti-Spam & Communications Policies: You warrant that you will adhere to all applicable privacy and anti-spam rules regarding recipient notification, debate participation, and voting engagement.
- Authorization: You authorize Robs Rules DAO LCA, its Governing Council, and technology partners to process and display your submitted governance communications, proposals, and on-chain voting records across the platform and blockchain networks.
3. Platform Operations and Association Responsibilities
Robs Rules DAO LCA utilizes reasonable efforts to ensure that the DeGov platform, proposal lifecycle tools, and voting protocols operate securely and transparently in accordance with our parliamentary governance framework:
- Hybrid Infrastructure: Our platform combines Web2 user interface tools with Web3 decentralized architecture. Deliberative voting records are recorded via the Vocdoni blockchain voting protocol, and treasury/DAO execution pathways are facilitated via the Aragon framework on Ethereum/Polygon.
- No Guarantee of External Data or Blockchain Networks: While Robs Rules DAO LCA provides the governance interface, we do not control third-party blockchain networks, wallet software (e.g., MetaMask), or external network consensus mechanisms. We do not warrant uninterrupted blockchain availability or error-free transmission across decentralized protocols.
- Access Management and Moderation: Should any user or organization fail to comply with these Terms, the Charter, or the CC&Rs, Robs Rules DAO LCA and its Governing Council reserve the right to restrict platform access, disable proposal creation or voting features, suspend registration, or take necessary enforcement actions.
4. Limitation of Liability and Indemnification
To the fullest extent permitted by law and the Colorado Uniform Limited Cooperative Association Act:
- Exclusion of Consequential Damages: Robs Rules DAO LCA, its Governing Council, directors, officers, employees, patron members, investor members, and agents shall not be liable for any direct, indirect, incidental, consequential, special, or economic losses—including loss of data, loss of profits, business interruption, or smart contract execution delays—arising out of or in connection with the use of, or inability to use, the platform or governance services.
- Indemnification: By accessing or using the platform, you agree to indemnify, defend, and hold harmless Robs Rules DAO LCA, its Governing Council, officers, directors, members, and agents against any claims, losses, liabilities, damages, or legal expenses resulting from your breach of these Terms, misuse of the platform, or violation of third-party rights.
5. Governance, Membership, and Financial Terms
Robs Rules DAO LCA operates as a cooperative enterprise structured under Colorado law:
- Membership Classes: Participation in the cooperative is categorized into designated classes, including Patron Members, Investor Members, and the Governing Council, as specified in the Association’s Charter and CC&Rs.
- Governance Tokens: Governance tokens or digital credentials issued by the Association represent voting rights and participation privileges in governance workflows. Governance tokens do not represent financial securities, equity interests, or expectations of profit.
- Service Fees & Expenses: Fees, service charges, or treasury contributions associated with platform deployment, custom software setup, or organizational onboarding are managed in accordance with official agreements and invoices issued by the Association.
6. Intellectual Property and Open-Source Integration
Robs Rules DAO LCA retains ownership of all proprietary authorship, design, logos, documentation, and original code contained within the robsrulesdao.com website, documentation portals, and custom application interfaces.
Where open-source protocols (such as the Vocdoni SDK or Aragon framework) are integrated into our Web3 stack, those components remain subject to their respective open-source licenses (such as the MIT License). You may not copy, reproduce, alter, or re-distribute proprietary elements of the Robs Rules DAO LCA platform without prior written consent from the Association, except as necessary for ordinary governance participation.
7. Hyperlinks and Third-Party Services
Hypertext links to the Robs Rules DAO LCA platform (robsrulesdao.com and associated subdomains) are permitted, provided the link does not misrepresent or denigrate the Association, its legal structure, or its governance operations. The platform may link to third-party tools, wallets, or blockchain explorers; Robs Rules DAO LCA is not responsible for the content, security, or privacy practices of external websites.
8. Disclaimer of Warranties
The Robs Rules DAO LCA platform, services, software, and documentation are provided on an “AS IS” and “AS AVAILABLE” basis. Robs Rules DAO LCA expressly disclaims all warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
9. Applicable Law and Jurisdiction
These Terms of Use, the platform, and all governance activities shall be governed by and construed in accordance with the laws of the State of Colorado, United States of America, without giving effect to any conflict of law principles. Any legal proceedings arising under these Terms shall be conducted in the appropriate state or federal courts located in Colorado.
